Terms of Service

These Terms of Service ("Terms") govern your use of pardive.com and the professional services provided by Pardive ("we", "our", "us"). By accessing our website or engaging our services, you agree to be bound by these Terms.
1. Services
Pardive provides B2B professional services including CRM operations, email marketing, revenue operations, content and conversion marketing, pipeline management, analytics, and advisory — delivered under the Service Credit model described in these Terms and in the applicable Service Agreement.
Specific deliverables, credit costs, timelines, and acceptance criteria for each engagement are agreed in writing before work begins. No credits are consumed until a deliverable is accepted by the client.
2. Service Credits
Purchase. Service Credits are purchased in pre-set bundles (Starter, Growth, Scale) or via custom allocation (Enterprise). Credits are non-refundable once purchased except as set out in Section 9.
Consumption. Credits are deducted from your balance only after you review a completed deliverable and confirm acceptance against agreed acceptance criteria. Credits are not deducted for discovery sessions until the deliverable scope has been agreed.
Expiry. Credits do not expire. Unused credits remain in your account indefinitely until consumed or until the account is closed.
Bonus credits. Bonus credits included in Growth and Scale bundles are provided at purchase and are available for any work request. Bonus credits are non-transferable and non-refundable.
3. Work Requests and Acceptance
Every engagement follows this process:
- Client submits a work request describing the requirement
- Pardive conducts a Requirement Discovery Session to define scope, timeline, and acceptance criteria
- Pardive issues a written credit quotation covering the specific deliverable
- Client reviews and approves the quotation — no work begins without approval
- Pardive delivers the agreed work
- Client reviews the deliverable against the agreed acceptance criteria
- Upon client acceptance, credits are deducted from the client's balance
If a deliverable does not meet the agreed acceptance criteria, Pardive will revise it at no additional credit cost until it does, or both parties will agree on an alternative resolution.
4. Client Responsibilities
To enable Pardive to deliver work effectively, clients agree to:
- Provide timely access to platforms, systems, and data required for the engagement
- Designate a point of contact who can approve quotes and accept deliverables
- Review and respond to quotations and completed deliverables within 10 business days
- Provide accurate and complete information when submitting work requests
- Ensure they have the legal right to share any data or content provided to Pardive
5. Intellectual Property
Client data. All data, content, and materials provided by clients remain the property of the client. Pardive has no ownership interest in client data and will not use it for any purpose other than delivering the agreed services.
Deliverables. Upon full acceptance and credit payment, all work product created specifically for a client engagement becomes the property of the client. Pardive retains no rights to reuse or redistribute client-specific deliverables.
Pardive IP. Pardive retains ownership of its proprietary methodologies, frameworks, templates, and tools used in delivery. These may be adapted for client use but are not transferred as part of a deliverable.
6. Confidentiality
Both parties agree to keep confidential any non-public information received from the other party in connection with the engagement. Confidential information includes but is not limited to business strategies, customer data, pricing, and technical systems.
Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party; (c) is required to be disclosed by law or regulatory authority.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Pardive's total liability for any claim arising from these Terms or an engagement shall not exceed the total credits consumed for the specific deliverable giving rise to the claim.
Pardive shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits or lost data, even if advised of the possibility of such damages.
8. Warranties and Disclaimers
Pardive warrants that services will be delivered with reasonable skill and care, consistent with professional standards in the industry.
Pardive does not warrant that any deliverable will achieve specific business outcomes such as revenue targets, lead volume, or conversion rates. Outcomes depend on factors outside Pardive's control including client implementation, market conditions, and platform performance.
9. Refunds
Credits are non-refundable once purchased. If Pardive is unable to deliver an agreed scope due to circumstances within Pardive's control, the credits allocated to that scope will be returned to the client's balance in full.
Refund of purchased credits (converted back to currency) is only available in exceptional circumstances at Pardive's sole discretion, and only for credits that have not been consumed.
10. Termination
Either party may terminate an engagement by providing 30 days' written notice. Credits for work in progress will be handled as follows:
- Deliverables already accepted and credits already deducted are final
- Deliverables in progress will be completed and submitted for acceptance, or both parties will agree to a partial credit allocation
- Unused credits in the client's balance remain available for future engagements unless the account is formally closed
11. Governing Law
These Terms are governed by the laws of the jurisdiction in which Pardive is incorporated, without regard to conflict of law principles. Any dispute arising from these Terms will be resolved through good-faith negotiation, and if unresolved, through binding arbitration.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated to active clients by email at least 30 days before they take effect. Continued use of our services after the effective date constitutes acceptance of the updated Terms.
